These Terms of Service ("Terms") are an agreement between you and DIGIT4L STUDIO DESIGN LLC, a Florida limited liability company ("we," "us," "our"), and govern your use of Sabelix at sabelix.com (the "Service"). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of a business, you confirm you have authority to bind that business, and "you" includes that business.

1. What the Service is

The Service lets you upload your business documents (such as invoices, financial statements, contracts, inventories and quotes) and ask questions about them in a chat. It uses artificial intelligence ("AI") to read your documents, organize the information and answer based on what they contain.

The Service is an informational tool. We are not an accounting firm, a law firm, a tax preparer, or a registered investment or financial advisor. Nothing the Service produces is professional accounting, tax, legal, investment, lending or financial advice. For decisions in those areas, consult a qualified professional.

2. AI can make mistakes

Answers are generated automatically from the documents you provide. They may be incomplete, out of date or wrong — for example, if a document is unclear, missing, or was read incorrectly. The Service shows the source document and a confidence label for its answers so you can check them. You are responsible for reviewing any answer before relying on it, and for every business decision you make.

3. Your account

You must be at least 18 and provide a valid email address. Keep your login secure; you are responsible for activity under your account. Tell us promptly at [email protected] if you suspect unauthorized access.

4. Your content

• You own your content. Your documents, questions and the answers generated from them ("Your Content") belong to you.
• License to us, only to run the Service. You give us a limited license to store, process and transmit Your Content solely to provide the Service to you. We do not use Your Content to train AI models, and we do not sell it.
• Your responsibility. You confirm you have the right to upload Your Content, including any information about your customers, employees or third parties it contains, and that doing so does not violate any law or agreement.
• Do not upload information you are not permitted to share, or highly sensitive data the Service does not need (for example, full Social Security numbers, card numbers or medical records). We may automatically mask such data when we detect it.

How we protect and handle Your Content is described in our Privacy Policy.

5. Plans, billing and cancellation

• Free plan. Includes a limited number of documents and questions and a general-level analysis. Limits are shown in the app and may change.
• Paid plans. Unlock full analysis, exact figures, calculated quotes and higher limits, at the price shown at checkout.
• Automatic renewal. Paid plans renew automatically each month or year, at the then-current price, until you cancel. We'll tell you the price and renewal terms before you pay, and send a reminder before an annual plan renews.
• Cancel anytime from your account settings, online, in a few clicks. Cancellation takes effect at the end of the current billing period; you keep access until then.
• Refunds. Fees are non-refundable except where required by law or stated otherwise at purchase.
• Payments are processed by Stripe. We do not store your full card number.
• Price changes. We'll give you at least 30 days' notice of any price increase to your plan.

6. Acceptable use

You agree not to: (a) use the Service for anything illegal or to violate others' rights; (b) attempt to access other users' data or our systems without authorization; (c) reverse-engineer, scrape or overload the Service; (d) upload malware; or (e) resell the Service without our written permission. We may suspend accounts that violate these rules.

7. Deleting your data and ending the agreement

You can delete individual documents, or your entire account, at any time. When you delete your account, we delete Your Content as described in the Privacy Policy. We may suspend or end your access if you materially breach these Terms, with notice where reasonable.

8. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANSWERS WILL BE ACCURATE OR COMPLETE OR THAT THE SERVICE WILL BE UNINTERRUPTED.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE OR RELIANCE ON ITS ANSWERS. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) US $100.

10. Indemnification

You agree to defend and indemnify us against third-party claims arising from Your Content or your violation of these Terms or the law.

11. Disputes

• Informal resolution first. Contact us at [email protected]; we'll try to resolve it within 30 days.
• Arbitration. If not resolved, disputes will be settled by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, in Miami-Dade County, Florida or online. Either party may bring qualifying claims in small-claims court.
• No class actions. Claims may be brought only individually, not as part of a class or representative action.
• Governing law. The laws of the State of Florida, without regard to conflict-of-law rules.

12. Changes to these Terms

We may update these Terms. For material changes we'll notify you by email or in the app at least 30 days before they take effect. Continued use after that means you accept the updated Terms.

13. Languages

These Terms are available in English and Spanish. If there is any conflict between versions, the English version controls.
